Securities transactions subject to registration

Since the fourth German Market Regulation Law came into effect on 1 July 2002, members of the Executive Board and Board of Directors at transtec AG must register the purchase or sale of their company's shares according to § 15a of the German Securities Trade Act. Even the German Corporate Governance Codex recommends disclosing such securities transactions under section 6.6. In addition to purchase and sales transactions of transtec shares, other securities transactions relating to transtec shares must also be registered. Securities transactions made by spouses, registered partners, and first-grade relatives are also subject to registration.
